Kyndryl has completed its acquisition of Healthcare IT Leaders, a deal intended to expand the company’s healthcare modernization services across applications, infrastructure and consulting. Kyndryl said the transaction is worth up to $350 million, including a performance-based earnout.

The acquisition brings a healthcare-focused consulting and application managed-services business into Kyndryl’s larger infrastructure and AI organization. For hospital systems and health insurers, the practical aim is to make it possible to work with one provider across a wider portion of their technology environment, rather than splitting modernization work among separate application, infrastructure and consulting firms.

Healthcare IT Leaders works with hospitals and health systems and focuses on enterprise IT consulting, managed services and workforce solutions. Its stated areas of expertise include electronic health records, enterprise resource planning, workforce management, revenue-cycle management, digital health, cloud and data. Kyndryl said the addition deepens its capabilities across clinical, operational and workforce systems modernization.

Kyndryl said the combined businesses will offer services spanning applications, infrastructure and consulting, pairing Healthcare IT Leaders’ healthcare expertise with Kyndryl’s infrastructure and AI capabilities. The scope covers clinical, operational and workforce systems, giving the acquisition a clear enterprise-technology angle rather than treating it solely as a financial transaction. The company said its aim is to help providers and payors modernize complex, mission-critical technology environments.

The release does not identify new products or set out a detailed integration timetable. It does, however, describe the acquisition as a way to strengthen work for healthcare providers and payors that are modernizing mission-critical technology environments. The companies’ combined offering is intended to support systems that serve clinical, business and workforce functions.

For CIOs and technology leaders, the transaction is chiefly a services and procurement development. A broader provider can simplify supplier management where an organization wants coordinated work across application operations and underlying infrastructure. It can also create a more direct relationship between healthcare-domain specialists and the teams responsible for running the environment. Whether that produces an operational advantage will depend on each customer’s existing applications, contracts, governance model and integration requirements.

Kyndryl said Healthcare IT Leaders generated revenue equivalent to about 1% of Kyndryl’s fiscal 2026 revenue during the 12 months ended March 31, 2026. The company said the acquisition does not change the fiscal 2027 outlook it provided on Aug. 5. It also said it has temporarily paused its share-repurchase program to preserve financial flexibility, and will update investors when that program resumes.

The deal follows Kyndryl’s Aug. 10 announcement that it intended to acquire Healthcare IT Leaders. Completion makes the companies’ planned combination a live offering for healthcare organizations, though Kyndryl’s release does not provide customer migration plans, service packaging or implementation pricing.

For potential buyers, the relevant question is not simply whether a single supplier can cover more technology disciplines. It is how the combined provider’s services fit an organization’s EHR, ERP, data, cloud and operational priorities, and how responsibilities will be divided across internal teams and existing vendors. Kyndryl is positioning the acquisition as a way to bring those decisions closer together as healthcare organizations update complex IT estates.
